Pursuant to Rule 10.06 of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities"), the Board of Directors of the Company wishes to announce that DWZ Industries Sdn. Bhd., its 55% owned subsidiary of the Company ("DWZ Industries" or "the Vendor") had on 18 February 2025 entered into a Sale and Purchase Agreement ("SPA") with Tan Ngooi Thai, Wong Lee Lee and Tan Yean Long ("the Purchasers") for disposal of all that unit of 1 ½ storey Semi Detached Factory held under freehold individual title identified as Geran 321827, Lot 122700 (previously known as HSD 331228, PTD 153772), Mukim Plentong, Daerah Johor Bahru, Negeri Johor bearing the postal address at No. 30, Jalan Maju 1, Taman Perindustrian Cemerlang, 81800 Ulu Tiram, Johor (hereinafter referred to as "the said Property") for a cash consideration of RM2.6 million only ("Disposal Consideration"), subject to the terms and conditions contained in the SPA.
